Organization model and
management machine are applied in Company, including General Shareholder, Board
of Directors, Board of Control, Board of Function, 1 member limited company created
by CMC and Joint stock company, and joint-venture with capital contribution of
CMC.
This model is built
basing on strategic development target of Company in accordance with regulation
of Vietnam law and in Company Charter. This organizaiton model defines clear
administration structures and apply standards in management administration,
defining responsibility and relationship of holding company and subsidiaries.
Therefore, enterprise administration will be more effective: It has both
controlling and supervision capability and create good conditions for Board of
management of member companies; Morever, it gives effectiveness for business
activities of Company.
General shareholders meeting
General
shareholder meeting is agency which has the most decisive rights of Company, including all shareholders and the meeting is hold
annualy. General shareholder meeting decise issues under regulations of Law and
Company charter such as: Informing annual financial reports and financial
budget for the next year; selecting and discharging members of Board of
Administration, memember of Board of Control of company, etc...
Board of Directors
At
present, Board of Directors of CMC has 08 members who are taking their
responsibilities under 4-year term (2007-2011).
Board of Supervisors
In
Board of Supervisors of CMC, General director is responsibile for leadership,
management and controlling all activities of Company and decide works under
function, responsibilities and rights defined in Company Charter. CMC’s Board
